Resato Waterjet Technology BV is a company of Pindustry BV (Tjalko Reedijk) and Fortitude Holding BV (Rob Castien)

Situation

High-pressure specialist Resato International BV serves the market through three divisions (1) High Pressure Technology, (2) Waterjet Technology, (3) Hydrogen Technology.

The waterjet technology division is formed by Resato Waterjet Technology BV and is the supplier of water cutting solutions for professional cutting companies. Originating from the high-pressure division, Resato Waterjet Technology has developed into one of the few technology owners in the market for water cutting machines. An optimal water cutting process is guaranteed with a complete package of systems and services based on proprietary technology and an experienced and passionate team of process specialists, service providers and machine builders. Resato Waterjet Technology has almost 25 years of experience in this field, develops and manufactures in Assen and operates mainly in Europe.

In 2021, the shareholders decided to spin off the divisions, starting with Waterjet Technology. The reasons were:

  • Maintain competitiveness and leadership position in all three divisions and ensure the individual growth strategies of the divisions.
  • The individual divisions deserved more focus, attention and freedom of action. The organisational structure at the time did not offer this sufficiently.

Surpex has been asked to take responsibility for the Waterjet Technology division on an interim basis and to supervise the unbundling process.

Actions

In addition to leading the company on an interim basis, the assignment was to:

  • Develop and implement all activities necessary to ensure the continuity of the organisation and realise the 2021/22 business plan.
  • Unbundling of the Waterjet Technology division.

During the assignment, special attention was paid to:

  • Dependency analysis and detail plan for successful demerger.
  • Redesign of the business model including the development of a new vision, mission and strategy.
  • Culture change (from product to market orientation), organisation formation and filling key positions.
  • Implementation of a new ERP system.
  • Integration of sales and service organisation and intensifying mutual cooperation with the aim of customer satisfaction based on sustainable win-win customer relations.
  • Formulation of a new production strategy based on the existing high-quality product lines and standardisation.

Role SURPEX

Realising the above actions and ensuring an organisation based on transparency, overview, trust and control space so that individual ownership can flourish. In addition, acting as coach and supervisor of a junior organisation to an organisation in which everyone can fully perform their function including all responsibilities. Moreover, SURPEX was sparring partner for the shareholder and stakeholders.

Result

The total process (carve-out and transfer) took 16 months. All responsibilities were successfully transferred. There is now an independent company, capable of achieving "next level" organic growth under the leadership of an adequate management team, which enjoys the full confidence of shareholders and other stakeholders.
